Agreement
These Terms of Use ("Terms") form a binding agreement between you and Comitium ("Comitium", "we", "us", or "our"). They apply to Comitium websites, applications, organization workspaces, public job pages, candidate application flows, communications, scheduling, and blockchain-enabled features (together, the "Service").
By accessing or using the Service, you agree to these Terms. If you use the Service for a company or other organization (an "Organization"), you represent that you have authority to bind it, and the Organization is responsible under these Terms for its workspace and authorized users. If you do not agree, do not use the Service.
Our Privacy Notice explains how Comitium handles personal data. The Data Processing Agreement applies when Comitium processes recruitment data for an Organization. The AI Feature Terms apply when an Organization enables or uses an AI-assisted feature. The Data Processing Agreement and AI Feature Terms form part of these Terms where applicable.
The Service
Comitium provides software for publishing jobs, receiving applications, managing recruiting work, communicating with candidates, scheduling interviews, and using on-chain commitments designed to encourage timely responses.
Subject to these Terms, Comitium gives you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your own lawful recruiting or job-application activities while your access remains active.
Comitium does not act as an employer or recruiting agency, represent an Organization or candidate, or make recruiting or hiring decisions. We do not guarantee a job, candidate, interview, response, hiring outcome, or financial return.
Accounts, authority, and security
You may use the Service only if you have legal capacity to agree to these Terms and your use is lawful. You must provide accurate account information and promptly keep it current.
You are responsible for activity through your account and for protecting access to your email, identity provider, devices, account, and wallet. You must promptly notify legal@comitium.co if you believe access has been compromised.
If you act for an Organization, you must be authorized to manage its workspace, users, recruiting data, settings, and transactions. The Organization is responsible for its users, permissions, integrations, instructions, and use of the Service.
Access to encrypted records depends on authorized users retaining access to the required accounts and keys. Comitium does not hold a master decryption key, and records may be unrecoverable if every authorized path to the relevant keys is lost.
Organization responsibilities
Each Organization is solely responsible for its job content, recruiting process, criteria, communications, required notices and consents, lawful basis for processing personal data, and compliance with laws applicable to its use of the Service.
Each Organization makes and remains solely responsible for its recruiting, employment, and hiring decisions. Any information, comparison, automation, or output provided through the Service is a tool for the Organization's own review and is not a decision or instruction from Comitium.
Blockchain features
Some features use smart contracts on Base and amounts denominated in USDC. Before authorization, the Service displays the amount, any fee, the relevant response period, and the conditions for refund or settlement.
A candidate application commitment is designed to become refundable after the contract records a response from the Organization or the applicable deadline is reached. An Organization's job commitment may be returned, partially slashed, or fully slashed under the displayed response-rate rules. A slashed amount may be sent to an irreversible burn address rather than retained by Comitium. Displayed protocol or publication fees may be non-refundable.
These commitments are accountability mechanisms, not investments or promises of yield. Blockchain transactions may be public and irreversible. Confirmation can be delayed, transactions can fail, USDC can lose its reference value, and wallets, smart contracts, relayers, RPC providers, or Base may fail or be compromised. You are responsible for reviewing the information displayed before authorization.
Comitium may sponsor or relay a transaction, but does not own or control your wallet or assets. Where the interface and canonical smart-contract state differ, the canonical contract state governs the on-chain result, subject to applicable law.
Content and data
You retain the rights you have in content submitted to the Service. You grant Comitium a worldwide, non-exclusive, royalty-free right to host, encrypt, transmit, process, reproduce, and display that content only as needed to provide, secure, support, and maintain the Service, follow authorized instructions, enforce these Terms, and comply with law.
You represent that you have all rights, permissions, notices, consents, and lawful bases needed to submit content and make it available to its intended recipients. You are responsible for the accuracy, legality, and integrity of content you submit. Comitium is not responsible for content submitted by users or for decisions made in reliance on that content.
An Organization is normally the controller of recruitment data in its workspace, and Comitium processes that data under the Data Processing Agreement. Comitium may create and use aggregated or de-identified Service usage information that does not reasonably identify an individual or Organization to operate, analyze, secure, and improve the Service.
Public Organization and job information may be distributed through IPFS and can remain available outside Comitium's control. Public blockchain records are governed by the Blockchain features section.
Acceptable use
You must not:
- publish fake jobs, submit fake applications, or collect resumes for a purpose unrelated to genuine recruiting;
- use the Service unlawfully, fraudulently, deceptively, or to discriminate unlawfully;
- submit content you do not have the right to submit, or content containing malware, spam, abuse, or an infringement of another person's rights;
- access another account, wallet, Organization, key, or encrypted record without authorization;
- bypass permissions, security controls, rate limits, sanctions controls, or commitment rules;
- interfere with the Service, its infrastructure, smart contracts, or other users;
- scrape personal data or create unsolicited marketing lists;
- resell or sublicense access or misrepresent the Service; or
- reverse engineer non-public parts of the Service except where an open-source license or applicable law expressly permits it.
Third-party services, intellectual property, and open source
The Service may interoperate with independent providers, integrations, wallets, networks, and public infrastructure. Their own terms and privacy practices may apply. Comitium does not control and is not responsible for an independent service or public network, including its availability, security, acts, omissions, or changes. An integration enabled by an Organization or user operates at that party's direction.
Except for user content, open-source code, and third-party materials, Comitium and its licensors own the Service, including its design, branding, documentation, and non-public software. These Terms do not transfer any ownership or permit use of Comitium branding in a way that suggests endorsement.
Code published in a public repository is governed by the license included with that repository. If that license conflicts with these Terms for the published code, the open-source license controls.
Changes, suspension, and ending use
Comitium may add, change, restrict, replace, suspend, or discontinue any part of the Service. To the maximum extent permitted by law, Comitium is not liable for a modification, suspension, or discontinuation of the Service.
Comitium is not responsible for delay or failure caused by circumstances beyond its reasonable control, including failures of communications, hosting, providers, networks, blockchains, utilities, governmental action, labor disputes, natural events, or attacks on infrastructure.
We may restrict, suspend, or terminate access, with or without notice, if we reasonably believe these Terms have been breached, an account or activity creates risk or liability, suspension is needed to protect the Service or others, or law or a provider requires it. Suspension or termination does not affect rights or obligations that arose earlier.
You may stop using the Service at any time. Account, export, and deletion requests can be sent to legal@comitium.co. Deletion is subject to Organization-controlled records, legal retention, protected backups, and public blockchain or IPFS data that Comitium cannot remove on its own. On-chain rights and obligations survive account closure.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. Comitium disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage.
Comitium does not warrant that the Service will be uninterrupted, error-free, secure against every threat, or suitable for every purpose; that information or output will be complete or accurate; that an independent provider or public network will remain available; that a digital asset will retain value; or that a smart contract will be free from defects or exploitation.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, Comitium and its affiliates, licensors, providers, and personnel will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business, goodwill, data, or opportunity arising from or related to the Service or these Terms, regardless of the legal theory and even if advised that the loss was possible.
Comitium is not responsible for a recruiting or hiring decision; content or instructions supplied by a user or Organization; an action authorized through a user's wallet; unauthorized use caused by a user's failure to protect access; or an independent provider, integration, digital asset, smart contract, or public network outside Comitium's reasonable control.
To the maximum extent permitted by law, Comitium's aggregate liability arising from or related to the Service and these Terms will not exceed the greater of US$100 or the fees actually paid to Comitium for the affected Service during the 12 months preceding the event giving rise to the claim. Multiple claims do not increase this limit.
Nothing in these Terms limits or excludes liability to the extent that it cannot be limited or excluded under applicable law.
Indemnification
Each Organization will defend, indemnify, and hold harmless Comitium, its affiliates, and their personnel from third-party claims, liabilities, damages, judgments, losses, and reasonable legal costs arising from or related to the Organization's content, recruiting or employment decisions, users, instructions, breach of these Terms, violation of law, failure to provide required notices or obtain required rights or consents, or misuse of the Service.
Comitium will notify the Organization of a covered claim and provide reasonable cooperation at the Organization's expense. A delay in notice does not relieve the Organization of its obligations except to the extent the delay materially prejudices its defense. The Organization may control the defense, but may not settle a claim in a way that admits fault by or imposes an obligation on Comitium without Comitium's prior written consent. Comitium may participate in the defense with counsel of its choice at its own expense.
Changes to these Terms
We may update these Terms prospectively. If a change materially affects your rights or obligations, we will provide reasonable advance notice through the Service, by email, or through another appropriate channel, unless the change is needed sooner to comply with law, address an urgent security or abuse risk, or respond to circumstances outside our reasonable control. The revised Terms will state their effective date. Continued use of the affected Service after that date constitutes acceptance where permitted by law; otherwise, you must stop using it.
Dispute notice
Before initiating a formal claim, you must send written notice to legal@comitium.co describing the dispute and requested resolution and allow Comitium 30 days to attempt to resolve it informally. This requirement does not apply where prohibited by law or where urgent injunctive relief is necessary.
General and contact
These Terms, any applicable Data Processing Agreement or AI Feature Terms, and transaction terms shown before authorization form the agreement concerning the Service. The Privacy Notice describes Comitium's handling of personal data and is not incorporated as a contractual term. For personal-data processing, the Data Processing Agreement controls over conflicting provisions in these Terms. For an AI-assisted feature, the AI Feature Terms control over conflicting provisions concerning that feature. Transaction terms shown before authorization control the specific on-chain action.
If a provision cannot be enforced, it will be enforced to the maximum extent permitted and the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver. Headings are for convenience only.
You may not assign or transfer your account, these Terms, or your rights without Comitium's prior written consent. Comitium may assign these Terms in connection with a reorganization, financing, merger, acquisition, or transfer of all or part of the Service. Except for Comitium affiliates and personnel with respect to protections expressly granted to them, no other person has a right to enforce these Terms.
For an Organization, the parties are independent contractors. These Terms do not create a partnership, agency, employment, fiduciary, or joint-venture relationship.
